Advised upon the purchase of two thirds of the share capital in a legal recruitment company.

Assisted team members with the purchase of 80% of the share capital in an estate agency business.

Carried out the restructure and reorganisation of a number of companies in order to put a recognised corporate structure in place, including drafting share for share exchange agreements, asset purchase agreements, deeds of assignment, deeds of release and dealing with various other anciallary matters.

Commercial

Assisted in advising on the establishment of a gold mining operation in Guinea, including engaging and liaising with off-shore advisers and providers.

Drafted various agreements for commercial clients, including but not limited to: non-disclosure agreements; profit share agreements; software development agreements; terms and conditions; and privacy policies for e-commerce businesses.

Banking and Finance

Provided corporate support on the settlement of a litigious matter by advising upon a restructured c. £24m syndicated facility following the removal of an interest rate hedging product that was previously conditional within the facility agreement.

Drafted and advised upon various security documents, acting both for and against a number of mainstream and alternative lenders.
